These Terms & Conditions ("Terms") govern your use of UGC Factory (the "Service"), operated by Ludo Labs CS ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

UGC Factory is an AI-assisted planning tool that generates hooks, scripts, shot lists, creator briefs, captions, and related assets for short-form product video content based on inputs you provide.

2. Accounts

You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. If you use the Service on behalf of an organization, you represent that you have authority to bind it. If you are an individual, you must be of legal age in your jurisdiction.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service unlawfully or to infringe third-party rights, including intellectual property;
  • use the Service to generate deepfakes, hateful content, harassment, malware, or fraud;
  • attempt to jailbreak, reverse engineer, probe, or interfere with the Service or its security;
  • scrape, resell, or redistribute the Service or its outputs at scale without permission;
  • circumvent usage limits, quotas, or access controls.

4. Your content and AI outputs

You retain ownership of the product information and inputs you submit ("Inputs"). You grant us a limited license to host and process Inputs solely to operate the Service. You are responsible for your Inputs, for how you use generated outputs, and for having the rights necessary to use any product names, brands, or materials referenced.

AI-generated outputs may be inaccurate, incomplete, or unsuitable for your use case. Outputs are not professional, legal, medical, financial, or regulatory advice. Review and verify outputs before use. We may refuse, filter, or remove content, and suspend accounts, where content violates these Terms.

If you believe content on the Service infringes your rights, contact support@ugcfactory.store with details of the claim. We take repeated infringement seriously and may terminate accounts of repeat infringers.

5. Intellectual property

The Service, its software, documentation, and branding are owned by Ludo Labs CS and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your subscribed plan. You may not reverse engineer, resell, or redistribute the Service.

6. Payments, subscriptions, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed byPaddle's Buyer Terms. See also our Refund Policy.

7. Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Features may change, be added, or be removed over time.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

9. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You will indemnify Ludo Labs CS against third-party claims arising from your Inputs, your use of outputs, your unlawful use of the Service, or your breach of these Terms.

11. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws applicable to Ludo Labs CS's place of establishment, without regard to conflict-of-law rules. Courts of that jurisdiction have exclusive jurisdiction over disputes, subject to any mandatory consumer protections in your country of residence.
